1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and AskMyu LLC ("AskMyu," "we," "our," or "us") governing your access to and use of the AskMyu platform, including our website, mobile applications, and any related services (collectively, the "Service").


BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.


We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last Updated" date and, where appropriate, by sending you an email notification. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.



2. Eligibility

You must meet the following requirements to use the Service:

  • Age Requirement: You must be at least 18 years old

  • Legal Capacity: You must have the legal capacity to enter into a binding agreement

  • Compliance: You must not be prohibited from using the Service under applicable laws or regulations

  • Accurate Information: You must provide accurate, current, and complete information during registration

  • Single Account: You may only create one account unless explicitly authorized by us


If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include both you individually and the organization.



3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information to keep it accurate and current

  • Keep your account credentials secure and confidential

  • Notify us immediately of any unauthorized access, security breach, or suspicious activity

  • Accept responsibility for all activities that occur under your account

  • Not share your account with others or allow others to access your account


3.2 Magic Link Authentication

Our Service uses magic link authentication (passwordless login) for your security. When you request to log in:

  • We will send a unique authentication link to your registered email address

  • You are responsible for maintaining access to this email address

  • The magic link expires after a short period for security

  • You should never share magic links with others

  • If you lose access to your email address, you may be unable to access your account


3.3 Account Security Obligations

You are responsible for maintaining the security of your account. You agree to:

  • Use a secure email account with strong authentication

  • Not share magic links or session credentials

  • Log out from shared or public devices

  • Report any security incidents immediately to security@askmyu.com

  • Cooperate with any security investigations


3.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have:

  • Violated these Terms or our Privacy Policy

  • Engaged in fraudulent, abusive, or illegal activity

  • Compromised the security or integrity of the Service

  • Infringed on intellectual property rights

  • Violated third-party terms (e.g., Google API Services User Data Policy)

  • Been inactive for an extended period



4. Service Description

AskMyu is a relationship intelligence and professional development platform that uses artificial intelligence and machine learning to help you:

  • Analyze and improve your professional relationships through communication pattern analysis

  • Track relationship dynamics using multi-dimensional tone analysis, sentiment detection, and velocity metrics

  • Monitor communication health including burnout risk detection and after-hours metrics

  • Receive AI-powered insights, recommendations, and personalized content

  • Access intelligent assistant features with adaptive tone, context cards, and IO psychology integration

  • Utilize multi-perspective AI deliberation through our Board of Directors feature (16 advisor personas)

  • Set and track professional development goals with AI-powered analysis

  • Integrate with third-party services including Gmail, Google Calendar, Slack, Microsoft Teams, and others

  • Create and manage professional journals and reflections across multiple channels

  • Analyze relationship alignment across multiple dimensions (semantic, values, worldview, narrative)

  • Access network analysis and team detection through graph database technology


4.1 Service Availability and Changes

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Service at any time

  • Add, remove, or change features and functionality

  • Implement scheduled maintenance and updates

  • Adjust usage limits and quotas for free and paid tiers

  • Change our supported integrations and third-party services


We will make reasonable efforts to notify you of significant changes in advance, but we are not obligated to do so.


4.2 The Beta

We may offer beta or experimental features that are clearly marked as such. These features:

  • Are provided "as is" without warranties

  • May be modified or discontinued without notice

  • May have bugs or errors

  • May not be available to all users

  • Are subject to additional terms that we may provide



5. Google API Services and Third-Party Integrations

5.1 Google API Services Compliance

IMPORTANT: AskMyu's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.


5.2 Authorization and Consent

By connecting your Google account or other third-party services to AskMyu, you:

  • Authorize us to access your data from those services as described in our Privacy Policy

  • Acknowledge that you have reviewed and agree to Google's Terms of Service and Privacy Policy

  • Understand which specific Google API scopes we are requesting (gmail.readonly, gmail.modify, calendar.readonly, contacts.readonly)

  • Grant us permission to use your Google user data solely for the purposes disclosed in our Privacy Policy

  • Acknowledge that we will only use your Google data in compliance with Google's Limited Use requirements


5.3 Limited Use of Google User Data

We commit to the following with respect to Google user data:

  • Use Limitation: We will only use your Google user data to provide and improve the features you have explicitly authorized

  • No Sale: We will never sell your Google user data

  • No Advertising: We will not use your Google user data for serving advertisements

  • Limited Sharing: We will only share your Google user data with third-party service providers who are bound by confidentiality and data protection obligations

  • Human Access Restriction: We will not allow humans to read your Gmail content except: (a) with your explicit consent, (b) for security purposes, (c) to comply with law, or (d) when aggregated and anonymized

  • Metadata-Only Storage: We do not store full email or message content, only extracted metadata and insights


5.4 Revocation of Access

You can revoke AskMyu's access to your Google account at any time by:

  • Disconnecting the Google integration in your AskMyu account settings

  • Visiting Google Account permissions page at https://myaccount.google.com/permissions

  • Contacting us at support@askmyu.com to request immediate revocation


Upon revocation, we will immediately stop accessing your Google data and will delete Google user data within 30 days as described in our Privacy Policy.


5.5 Other Third-Party Integrations

The Service integrates with additional third-party services (Slack, Microsoft Teams, Zulip, WhatsApp, SMS, Telegram, CalDAV, etc.). By connecting these services:

  • You authorize us to access data from those services as described in our Privacy Policy

  • You acknowledge that third-party services have their own terms and privacy policies

  • We are not responsible for the practices, availability, or security of third-party services

  • You can revoke integration permissions at any time through your account settings

  • We may discontinue support for any third-party integration at any time

  • You are responsible for complying with the terms of service of each third-party platform you connect


5.6 Integration Limitations

You acknowledge that:

  • Integration features depend on third-party APIs and may be affected by changes to those APIs

  • We cannot guarantee uninterrupted access to third-party services

  • Third-party service outages or rate limits may affect the Service

  • We are not responsible for data loss caused by third-party service issues

  • You should maintain backups of important data stored in third-party services



6. Subscription Plans and Payments

6.1 Free and Paid Tiers

We offer both free and paid subscription tiers:


Free Tier:

  • Provides access to basic features with usage limitations

  • Subject to restrictions on API calls, storage, and integrations

  • May include advertisements or promotional content (if applicable)

  • May have lower priority for customer support


Paid Tiers:

  • Provide access to premium features and advanced functionality

  • Higher usage limits for API calls, storage, and integrations

  • Priority customer support

  • Additional AI model options and faster processing

  • Advanced analytics and insights


Specific features, limitations, and pricing for each tier are available on our website at www.askmyu.com/pricing and may be updated from time to time with advance notice.

6.2 Billing and Payment

If you subscribe to a paid tier:

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected)

  • You authorize us to charge your chosen payment method for all applicable fees, taxes, and charges

  • Payment is due immediately upon subscription and at the beginning of each billing cycle

  • You are responsible for providing current, complete, and accurate billing information

  • You must promptly update your payment information if it changes

  • We use third-party payment processors (e.g., Stripe) and do not store your complete payment card information

  • If payment fails, we may suspend your access to paid features until payment is received


6.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

To avoid being charged:

  • Cancel your subscription through your account settings at least 24 hours before the next billing date

  • Cancellation takes effect at the end of the current billing period

  • You will retain access to paid features until the end of the paid period

  • After cancellation, your account will revert to the free tier (subject to free tier limitations)


6.4 Refunds

All subscription fees are non-refundable except:

  • As required by law in your jurisdiction

  • If we terminate your account without cause

  • If we discontinue the Service entirely (prorated refund for unused portion)

  • At our sole discretion for exceptional circumstances


To request a refund, contact us at billing@askmyu.com with your order details. Refund requests must be submitted within 30 days of the charge.


6.5 Price Changes

We may change our subscription prices at any time. Price changes will:

  • Apply to your next billing cycle after we provide at least 30 days' advance notice

  • Not affect your current billing cycle

  • Be communicated via email and/or a notice in the Service

  • Give you the option to cancel before the new price takes effect


Your continued use of the Service after a price change constitutes acceptance of the new price.


6.6 Taxes

You are responsible for all applicable taxes (sales tax, VAT, GST, etc.) associated with your subscription. We will collect taxes where required by law. Tax amounts are calculated based on your billing address.


6.7 Free Trials and Promotional Offers

We may offer free trial periods or promotional pricing for paid tiers:

  • Free trial eligibility is determined at our sole discretion

  • If you do not cancel before the trial period ends, you will be automatically charged

  • Each user is eligible for one free trial unless otherwise stated

  • We may require payment information to start a free trial

  • Promotional offers are subject to additional terms and conditions

  • We reserve the right to modify or cancel promotional offers at any time



7. User Content and Conduct

7.1 Your Content

You retain ownership of all content you submit to the Service ("User Content"), including:

  • Journal entries, goals, and professional development notes

  • Feedback, comments, and suggestions

  • Profile information and settings

  • Any other content you create or upload


By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to:

  • Use, store, display, reproduce, modify, and distribute your User Content solely to provide and improve the Service

  • Create derivative works for service improvement (e.g., anonymized analytics)

  • Backup and restore your User Content

  • Process your User Content through our AI and machine learning systems


This license terminates when you delete your User Content or account, except for:

  • Content shared with other users (until they delete it)

  • Anonymized and aggregated data that cannot be attributed to you

  • Backup copies (deleted within 90 days)

  • Content required for legal compliance


7.2 User Content Representations and Warranties

You represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to submit your User Content

  • Your User Content does not violate any third-party rights (intellectual property, privacy, publicity, etc.)

  • Your User Content complies with these Terms and all applicable laws and regulations

  • Your User Content is accurate and not misleading

  • Your User Content does not contain malware, viruses, or harmful code


7.3 Prohibited Conduct

You agree not to conduct yourself while using the Service in any of the following ways.


Legal Violations:

  • Use the Service for any illegal purpose or in violation of any laws or regulations

  • Violate any third-party rights, including intellectual property, privacy, or publicity rights

  • Submit content that is defamatory, libelous, obscene, pornographic, or offensive

  • Engage in fraud, money laundering, or other financial crimes


Security Violations:

  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems

  • Interfere with or disrupt the Service, servers, or networks

  • Use automated systems (bots, scrapers, crawlers) to access the Service without permission

  • Probe, scan, or test the vulnerability of the Service or circumvent security measures

  • Reverse engineer, decompile, disassemble, or attempt to extract source code from the Service

  • Use the Service to transmit malware, viruses, worms, trojans, or other harmful code

  • Launch denial-of-service attacks or other attacks against the Service


Abuse and Misuse:

  • Harass, abuse, threaten, or harm other users

  • Impersonate any person or entity, or falsely represent your affiliation

  • Collect or store personal information about other users without consent

  • Use the Service to send spam, unsolicited messages, or advertisements

  • Create multiple accounts to evade restrictions or bans

  • Share your account credentials or allow others to use your account

  • Use the Service in any manner that could damage our reputation or business


Data and Privacy Violations:

  • Submit false, misleading, or fraudulent information

  • Violate our Privacy Policy or Google API Services User Data Policy

  • Attempt to access or collect data beyond what you are authorized to access

  • Use scraped or unauthorized data from third parties

  • Re-identify anonymized or de-identified data


Commercial Misuse:

  • Resell, redistribute, or sublicense the Service without authorization

  • Use the Service to build competing products or services

  • Exceed usage limits or quotas for your subscription tier

  • Use the Service for cryptocurrency mining or similar resource-intensive activities


7.4 Content Monitoring and Moderation

While we do not generally monitor User Content:

  • We reserve the right to review, remove, or modify any User Content that violates these Terms

  • We may use automated systems to detect prohibited content or activity

  • We may investigate reports of Terms violations from other users

  • We cooperate with law enforcement and may report illegal activity

  • Content removal decisions are made at our sole discretion


7.5 Consequences of Violations

Violation of these conduct rules may result in:

  • Warning or notice of violation

  • Temporary suspension of account or features

  • Permanent termination of account

  • Removal of User Content

  • Legal action and pursuit of damages

  • Reporting to law enforcement or regulatory authorities



8. AI-Generated Content and Recommendations

8.1 Nature of AI Content

The Service uses artificial intelligence and machine learning to generate insights, recommendations, and content ("AI-Generated Content").

You acknowledge and agree that:

  • AI-Generated Content is for informational and developmental purposes only

  • AI-Generated Content should not be considered professional advice (legal, financial, medical, psychological, etc.)

  • AI systems may produce inaccurate, incomplete, biased, or inappropriate outputs

  • AI-Generated Content reflects statistical patterns in data, not human judgment or expertise

  • You are solely responsible for evaluating and verifying AI-Generated Content before relying on it

  • You should not make important decisions based solely on AI-Generated Content

  • We do not guarantee the accuracy, completeness, reliability, or suitability of AI-Generated Content


8.2 Professional Advice Disclaimer

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE.
The Service provides general relationship intelligence and professional development insights, but does not constitute:

  • Legal advice or representation

  • Financial, investment, or tax advice

  • Medical, mental health, or psychological counseling

  • Human resources or employment advice

  • Career counseling by a licensed professional

  • Therapy or clinical diagnosis


For legal, financial, medical, mental health, or other professional matters, you should consult qualified professionals. Relationship and career insights provided by the Service are general in nature and should be evaluated in the context of your specific situation.


8.3 Limitation on Relationship Advice

While the Service analyzes professional relationships:

  • Insights are based on communication patterns and metadata, not comprehensive knowledge of your relationships

  • The Service cannot account for context, nuance, or offline interactions

  • Relationship dynamics are complex and may not be fully captured by AI analysis

  • You should use your own judgment when applying relationship insights

  • The Service is designed for professional relationships, not personal or romantic relationships


8.4 AI Model Training and Improvement

As described in our Privacy Policy:

  • We may use anonymized and aggregated data to train and improve our AI models

  • You can manage your consent for model training in your account settings

  • Model training uses differential privacy and pseudonymization to protect your privacy

  • Opting out of model training does not affect your use of the Service

  • We never use identifiable Google user data for model training


8.5 AI Limitations and Errors

You acknowledge that AI systems:

  • May hallucinate or generate false information

  • May exhibit biases present in training data

  • May misinterpret context or intent

  • May provide inconsistent outputs for similar inputs

  • Require human oversight and verification

  • Are continuously evolving and improving


We work to minimize these issues but cannot eliminate them entirely. Always verify important information from AI-Generated Content.



9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service and its entire contents, features, and functionality are owned by AskMyu, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.


This includes but is not limited to:

  • Software, algorithms, and source code

  • AI models, training data, and machine learning techniques

  • User interface designs and user experience

  • Text, graphics, logos, icons, and images

  • Audio, video, and multimedia content

  • Database structures and schemas

  • Business processes and workflows

  • Documentation and training materials


9.2 Limited License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.


You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service

  • Reverse engineer, decompile, or disassemble the Service

  • Remove or modify any copyright, trademark, or other proprietary notices

  • Use the Service to create competing products or services

  • Frame or mirror any part of the Service

  • Use any robot, spider, or automated tool to access the Service (except search engine crawlers)

  • Attempt to extract or derive the source code or algorithms


9.3 Trademarks

AskMyu, our logo, and other marks used in the Service are trademarks of AskMyu LLC. You may not use our trademarks without our prior written consent. Third-party trademarks mentioned in the Service are the property of their respective owners.


9.4 Feedback and Suggestions

If you provide us with feedback, suggestions, ideas, or other input about the Service ("Feedback"):

  • You grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use and incorporate Feedback

  • We may use Feedback to improve the Service without compensation to you

  • You waive any rights to compensation or attribution for Feedback

  • Feedback is not confidential and becomes our property


9.5 DMCA Copyright Policy

We respect intellectual property rights. If you believe that content on the Service infringes your copyright:

  • Send a DMCA notice to dmca@askmyu.com

  • Include: (a) description of copyrighted work, (b) location of infringing material, (c) your contact information, (d) statement of good faith belief, (e) statement of accuracy under penalty of perjury, (f) physical or electronic signature

  • We will investigate and may remove infringing content

  • Repeated infringers may have their accounts terminated



10. Data Privacy and Security

10.1 Privacy Policy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.


By using the Service, you agree to the terms of our Privacy Policy. Please review it carefully to understand:

  • What information we collect and how

  • How we use your information

  • How we protect your information

  • Your privacy rights and choices

  • Our compliance with Google API Services User Data Policy

  • International data transfers

  • Regional privacy rights (CCPA, GDPR, APPI)


10.2 Data Security

  • Magic link authentication (passwordless)

  • Role-based access controls and admin authorization

  • DDoS protection and rate limiting

  • Security monitoring and incident response

However, no method of transmission over the Internet is 100% secure. You acknowledge that:

  • We cannot guarantee absolute security

  • You use the Service at your own risk

  • You are responsible for maintaining the security of your account

  • You should report security vulnerabilities to security@askmyu.com


10.3 Data Retention and Deletion

Data retention is governed by our Privacy Policy. You can:

  • Delete your account and data at any time through account settings

  • Request data deletion by contacting privacy@askmyu.com

  • Export your data before deletion

  • Disconnect third-party integrations to stop data collection


Upon account deletion, personal information is deleted within 30 days, except for anonymized data and data required for legal compliance.



11. Disclaimers and Warranties

11.1 "As Is" and "As Available" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKMYU DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement

  • Warranties that the Service will be uninterrupted, timely, secure, or error-free

  • Warranties regarding the accuracy, reliability, or completeness of content or results

  • Warranties that errors or defects will be corrected

  • Warranties regarding third-party integrations or services

  • Warranties regarding AI-Generated Content accuracy or suitability


11.2 No Guarantee of Results

We do not guarantee that:

  • The Service will meet your specific requirements or expectations

  • AI-Generated Content will be accurate, complete, or applicable to your situation

  • Use of the Service will improve your professional relationships or career

  • The Service will be compatible with all devices, browsers, or software

  • Third-party integrations will function as expected

  • Data from third-party services will be accurate or complete


11.3 Third-Party Services and Content

We disclaim all liability for:

  • Third-party services, APIs, and integrations

  • Accuracy of data from third-party sources

  • Availability or functionality of third-party services

  • Changes to third-party terms or policies

  • Third-party data breaches or security incidents


11.4 Jurisdiction-Specific Disclaimers

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.



12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASKMYU, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, use, goodwill, or other intangible losses

  • Damages resulting from your use or inability to use the Service

  • Damages resulting from unauthorized access to or alteration of your data

  • Damages resulting from third-party conduct or content

  • Damages resulting from AI-Generated Content or recommendations

  • Damages resulting from service interruptions, errors, or downtime

  • Damages resulting from third-party integration failures


12.2 Cap on Total Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • (A) The amount you have paid us in subscription fees in the twelve (12) months preceding the claim, or

  • (B) One hundred dollars ($100.00)


12.3 Basis of Bargain

This limitation of liability:

  • Applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis

  • Applies even if we have been advised of the possibility of such damages

  • Reflects the allocation of risk between you and AskMyu

  • Is an essential basis of the bargain between you and AskMyu


12.4 Jurisdiction-Specific Limitations

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


12.5 Exceptions

These limitations do not apply to:

  • Death or personal injury caused by our negligence

  • Fraud or fraudulent misrepresentation

  • Gross negligence or willful misconduct

  • Any liability that cannot be excluded by law



13. Indemnification

You agree to indemnify, defend, and hold harmless AskMyu, its affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service

  • Your violation of these Terms or our Privacy Policy

  • Your violation of any rights of another person or entity (including intellectual property, privacy, or publicity rights)

  • Your User Content or any content you submit

  • Your connection of third-party services to your account

  • Your violation of any applicable laws or regulations

  • Your negligence or willful misconduct

  • Any false or misleading information you provide

  • Your violation of third-party terms of service (e.g., Google's terms)


We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim without our prior written consent.



14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, United States, without regard to its conflict of law provisions.


14.2 Informal Resolution

Before filing a formal dispute, you agree to:

  • Contact us at legal@askmyu.com to describe the dispute

  • Provide sufficient information for us to evaluate the dispute

  • Attempt to resolve the dispute informally for at least 30 days

  • Negotiate in good faith to reach a mutually acceptable resolution


We will do the same if we have a dispute with you. Informal resolution can save both parties time and money.


14.3 Arbitration Agreement

If we cannot resolve a dispute informally, you and AskMyu agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including its interpretation, breach, termination, or validity) shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.


Arbitration procedures:

14.4 Class Action Waiver

YOU AND ASKMYU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

This means:

  • No class arbitrations or class actions are permitted

  • No consolidation of individual arbitrations without consent

  • No representative actions on behalf of others

  • Claims must be brought individually


If this class action waiver is found to be unenforceable, the entire arbitration agreement is void.


14.5 Exceptions to Arbitration

Either party may bring a lawsuit in court for:

  • Injunctive relief or equitable relief to protect intellectual property rights

  • Claims in small claims court if the claim qualifies

  • Enforcement of an arbitration award


14.6 Opt-Out of Arbitration

15. Term and Termination

15.1 Term

These Terms remain in effect while you use the Service or maintain an account, unless terminated earlier in accordance with these Terms.


15.2 Termination by You

You may terminate these Terms at any time by:

  • Deleting your account through your account settings

  • Contacting us at support@askmyu.com to request account deletion

  • Disconnecting all third-party integrations


If you have a paid subscription, cancellation takes effect at the end of the current billing period. You will not receive a refund for any unused portion except as required by law.


15.3 Termination by Us

We may suspend or terminate your access to the Service immediately, with or without cause, with or without notice, at our sole discretion. Reasons for termination may include:

  • Violation of these Terms or our Privacy Policy

  • Violation of Google API Services User Data Policy or other third-party policies

  • Fraudulent, abusive, illegal, or harmful activity

  • Non-payment of fees or chargebacks

  • Extended periods of inactivity (free accounts)

  • Request by law enforcement or government agencies

  • Unexpected technical, security, or legal issues

  • Discontinuation of the Service

  • Violation of intellectual property rights

  • Threats to the security or integrity of the Service


15.4 Effect of Termination

Upon termination of your account or these Terms:

  • Your right to use the Service immediately ceases

  • We may delete your account and User Content according to our Privacy Policy

  • Access to paid features is immediately revoked

  • You remain liable for any outstanding fees or obligations incurred before termination

  • We may retain certain data as described in our Privacy Policy

  • Third-party integrations will be disconnected

  • Backup copies will be deleted within 90 days

16. General Provisions

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and AskMyu regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.


16.2 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated:

  • By posting updated Terms with a new "Last Updated" date

  • By email notification to your registered email address

  • By prominent notice in the Service when you log in

  • With at least 30 days' advance notice for significant changes


Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service and delete your account.


16.3 Waiver and Severability

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction:

  • The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. Any attempted assignment in violation of this provision is void.


We may assign these Terms or transfer our rights and obligations without restriction, including:

  • To an affiliate or subsidiary

  • In connection with a merger, acquisition, or sale of assets

  • To a third-party service provider

  • By operation of law


16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Embargoes or government actions

  • Fire, explosions, or accidents

  • Pandemics or epidemics

  • Network infrastructure failures or cyber attacks

16.6 Export Controls and Sanctions

You agree to comply with all applicable export control laws and economic sanctions:

  • You will not use the Service in violation of U.S. export laws or regulations

  • You are not located in, or a resident of, a country subject to U.S. embargo

  • You are not on any U.S. government list of prohibited or restricted parties

  • You will not use the Service for any prohibited end use (e.g., weapons development)


16.7 Government Use

If you are a U.S. government entity or using the Service on behalf of a U.S. government entity:

  • The Service is a "commercial item" as defined in FAR 2.101

  • The Service is provided with only those rights as are granted to all other users under these Terms

  • Use, duplication, or disclosure is subject to the restrictions in these Terms


16.8 Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights. Only you and AskMyu may enforce these Terms.

  • The English version prevails over any translations

ADDENDUM A: Mobile App Store Terms


A.1 App Store Purchases and Subscriptions

When you subscribe through the Apple App Store or Google Play Store:

  • Payment Processing: All payments are processed by Apple (App Store) or Google (Play Store), not directly by AskMyu

  • Charges: Subscription fees are charged to your Apple ID account (iOS) or Google Play account (Android) at confirmation of purchase

  • Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period

  • Cancellation: Manage subscriptions in iOS Settings > [Your Name] > Subscriptions, or Google Play Store > Menu > Subscriptions

  • Refunds: Request refunds through Apple or Google, not AskMyu. Refund policies are governed by App Store/Play Store terms

  • Price Changes: If subscription prices change, you'll be notified at least 30 days in advance. Continued use after price change constitutes acceptance

  • No Third-Party Payments: We do NOT accept payments through systems other than the App Store or Play Store within the mobile apps


A.2 Family Sharing (iOS)

Some subscription tiers may be eligible for Apple Family Sharing:

  • If enabled, up to 6 family members can share the subscription

  • Family organizer is responsible for all charges

  • Each family member has their own account and data

  • Eligibility is determined by Apple and shown in the App Store


A.3 App Store Rules and Restrictions

Your use of the mobile apps is also subject to:

  • Apple App Store Review Guidelines and Terms of Service (for iOS)

  • Google Play Developer Program Policies and Terms of Service (for Android)

  • In case of conflict between these Terms and app store terms, app store terms prevail for app store-specific matters


A.4 Mobile Device Requirements

To use the mobile apps, you need:

  • iOS: iPhone or iPad running iOS 15.0 or later

  • Android: Device running Android 8.0 (Oreo) or later

  • Stable internet connection (Wi-Fi or cellular data)

  • Sufficient device storage for app installation and data caching


ADDENDUM B: AWS Infrastructure Terms


B.1 AWS Shared Responsibility Model

Our Service is built on Amazon Web Services (AWS) infrastructure. Under the AWS Shared Responsibility Model:


AWS Responsibilities (Infrastructure Security):

  • Physical security of data centers

  • Network infrastructure security

  • Hypervisor and virtualization layer security

  • Compliance certifications (SOC, ISO, PCI DSS, etc.)


AskMyu Responsibilities (Application Security):

  • Application-level security and encryption

  • Access control and authentication

  • Data encryption at rest and in transit

  • Security monitoring and incident response

  • Compliance with data protection regulations


B.2 Service Level and Availability

While we strive for high availability:

  • Target Uptime: 99.5% monthly uptime (excluding scheduled maintenance)

  • Scheduled Maintenance: We may perform maintenance with 48 hours advance notice when possible

  • AWS Outages: Service availability may be affected by AWS regional outages beyond our control

  • No SLA: Free tier has no service level agreement; paid tiers may have SLAs in enterprise contracts

  • Monitoring: Real-time status updates at status.askmyu.com (if applicable)


B.3 Data Residency and Compliance

For customers with data residency requirements:

  • Default Storage: AWS US-East-1 (Northern Virginia) and US-West-2 (Oregon)

  • Japanese Customers: Future option to store data in AWS AP-Northeast-1 (Tokyo)

  • European Customers: We can discuss EU data residency options for enterprise customers

  • Compliance Documentation: AWS compliance reports available upon request for enterprise customers

  • Data Processing Addendum: Available for GDPR and enterprise compliance needs


B.4 Disaster Recovery and Business Continuity

We maintain disaster recovery procedures:

  • Multi-Region Backup: Data replicated to secondary AWS region

  • Recovery Objectives: RTO (Recovery Time) 4 hours, RPO (Recovery Point) 1 hour

  • Failover Capability: Automatic failover to secondary region for critical services

  • No Guarantee: While we implement best practices, we cannot guarantee zero data loss in all scenarios

  • User Responsibility: You should maintain backups of critical User Content


ADDENDUM C: Mobile App-Specific Rules


C.1 Prohibited Uses in Mobile Apps

In addition to general prohibited conduct, you must not:

  • Jailbreak or root your device to circumvent app restrictions

  • Use the app on emulators or virtual devices for unauthorized purposes

  • Attempt to extract or reverse engineer the mobile app code

  • Use modified or unofficial versions of the app

  • Share in-app purchase credentials or subscriptions improperly

  • Abuse Family Sharing to circumvent subscription limits


C.2 App Updates

We may release updates to the mobile apps:

  • Updates may be automatic or require manual installation

  • Some updates may be required to continue using the Service

  • Updates may change features or functionality

  • Failure to update may result in reduced functionality or security vulnerabilities

  • We are not responsible for issues caused by using outdated app versions


C.3 Push Notifications

If you enable push notifications:

  • You consent to receive notifications about insights, goals, and service updates

  • You can disable notifications in device settings at any time

  • We may send transactional notifications even if you disable marketing notifications

  • Notification frequency depends on your usage and settings
